Ally Financial Inc. (“Ally”) will participate in a series of fixed income investor calls that will take place on March 17, 2021. Following these discussions, Ally may conduct an offering of non-cumulative perpetual preferred stock, subject to market conditions. Ally expects that, if it were to proceed with an offering of preferred stock, the proceeds would be used to redeem a portion of or all of the 8.125% Fixed Rate/Floating Rate Trust Preferred Securities, Series 2 of GMAC Capital Trust I (the “Series 2 TRUPS”) and the related common securities and debentures, each in accordance with its terms.
This Form 8-K is being furnished for informational purposes only and shall not constitute an offer to sell, or the solicitation of an offer to buy, any securities of Ally. In addition, this Form 8-K shall not constitute a notice of redemption of the Series 2 TRUPS.
