| (a) | On February 1, 2010, the Board of Directors of McMoRan Exploration Co. (McMoRan) approved an amendment to Section 7 of McMoRan’s Amended and Restated By-Laws to clarify that advisory directors may attend board and committee meetings only by invitation of the board (see Exhibit 3.3). |
