Item 1.01. Entry into a Material Definitive Agreement
On May 23, 2007, Stanley E. Gilliland resigned his position as Vice President of Lending of First Mid Illinois Bancshares, Inc. (“The Company”) and Executive Vice President of Lending for First Mid-IL Bank and Trust, N.A. (“First Mid”). Mr. Gilliland was Vice President of Lending of the Company since 1985 and Executive Vice President of First Mid since 1990. Mr. Gilliland has assumed the position of loan officer with First Mid.
