On August 3, 2011, BancorpSouth, Inc. (the “Company”) announced the appointment by the Board of Directors of Warren A. Hood to the Board’s Audit Committee, effective as of August 5, 2011. Mr. Hood has been a member of BancorpSouth Bank’s Board of Directors since 2007 and a member of the Company’s Board of Directors since April 2011. A copy of the press release announcing the appointment of Mr. Hood is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference in its entirety.
