Item 1.01. Entry into a Material Definitive Agreement

Paulson Investment Company, Inc., a wholly-owned subsidiary of Paulson Capital Corp. ("Paulson") (Nasdaq:PLCC), today announced that effective in September 2006, RBC Dain Correspondent Services (RBC Dain CS) will become its new clearing firm, replacing National Financial Services, LLC.
