Explanatory Note: The Current Report on Form 8-K filed by the Registrant on January 13, 2010 is being amended to file under Item 9.01 a revised consent by Frazer Frost LLP. The revised consent incorporates Frazer Frost LLP’s audit report to the consolidated financial statements of Fushi Copperweld, Inc. and Subsidiaries, dated March 13, 2009, except for Note 21 and parent only financial statement information schedule, which is dated as of January 7, 2010 for the years ended December 31, 2008 and 2007 and the related consolidated statements of income and comprehensive income, shareholders’ equity, and cash flows for each of the years in the three-year period ended December 31, 2008, into the Registrant’s Registration Statement on Form S-3/A (Amendment No. 3).
