MACOM Announces Early Termination of Hart-Scott-Rodino Antitrust Review
LOWELL, Mass.—MACOM Technology Solutions Holdings, Inc. (NASDAQ: MTSI) (“MACOM”), a leading supplier of high-performance analog RF, microwave, millimeterwave and photonic semiconductor products, today announced that on December 12, 2016, the Federal Trade Commission granted early termination of the antitrust waiting period under the Hart-Scott-Rodino Antitrust Improvements Act for the proposed merger of MACOM and Applied Micro Circuits Corporation (NASDAQ:AMCC) (“AMCC”).
The transaction remains subject to various conditions, including the commencement, and completion, of MACOM’s tender offer to purchase each outstanding common share of AMCC and other customary closing conditions. Both companies continue to expect that the transaction will close in the first calendar quarter of 2017.
