ITEM 8.01 Other Events
On March 1, 2016, NewBridge Bancorp (“NewBridge”), Yadkin Financial Corporation (“Yadkin”) and Yadkin Bank each filed articles of merger with the North Carolina Secretary of State (collectively, the “Articles of Merger”). In accordance with the Articles of Merger, NewBridge will merge with and into Yadkin effective as of 9:01 a.m. on March 1, 2016, and NewBridge Bank will merge with and into Yadkin Bank effective as of 9:02 a.m. on March 1, 2016.
