Item 8.01 Other Events
On August 8, 2022, Seacoast Banking Corporation of Florida, a Florida corporation (“Seacoast” or the “Company”) issued a press release announcing that Seacoast and Seacoast’s wholly-owned subsidiary, Seacoast National Bank, a national banking association (“SNB”) have entered into an Agreement and Plan of Merger with Professional Holding Corp. ("Professional"), parent company of Professional Bank. Under the terms of the Agreement and Plan of Merger, Professional Holding Corp. will merge with and into Seacoast, with Seacoast as the surviving company, and Professional Bank, will be merged with and into SNB, with SNB as the surviving bank.
Pursuant to General Instruction F to Form 8-K, a copy of the press release is attached hereto as Exhibit 99.2 and is incorporated into this Item 8.01 by this reference.
Seacoast will also discuss the transaction in a conference call on August 8, 2022 at 10:00 a.m. (Eastern Time). Pursuant to General Instruction F to Form 8-K, the slide show presentation related to the transaction and made available in connection with the conference call is attached hereto as Exhibit 99.1 and is incorporated into this Item 8.01 by this reference, and is also available on Seacoast’s Internet website.
