Explanatory Note
This Form 20-F/A is being filed Norsat International Inc. as Amendment No.1 to its Annual Report on Form 20-F for the fiscal year ended December 31, 2007, filed with the Securities and Exchange Commission (the “Commission”) on April 1, 2008 (the "2007 Form 20-F") for the sole purpose of amending the required certifications of the principal executive officer and the principal financial officer of Norsat International Inc. as appearing in Exhibits 32.1 and 32.2.
The amendments with respect to Exhibits 32.1 and 32.2 are:
(i)
the inclusion in Paragraph 4 of the words “and internal control over financial reporting (as defined in Exchange Act Rules 13a-15(f) and 15d-15(f)) for the issuer and have:”
(ii)
changing Paragraph 4(b) to read: “Designed such internal control over financial reporting, or caused such internal control over financial reporting to be designed under our supervision, to provide reasonable assurance regarding the reliability of financial reporting and the preparation of financial statements for external purposes in accordance with generally accepted accounting principles”
(iii)
changing Paragraph 4(c) to read: “Evaluated the effectiveness of the issuer’s disclosure controls and procedures and presented in this report our conclusions about the effectiveness of the disclosure controls and procedures, as of the end of the period covered by this report based on such evaluation; and”
