(b) On April 7, 2006, Lance Laifer resigned from the Board of Directors of TRM Corporation (the “Company”), effective as of such date. Mr. Laifer was chairman of the Audit Committee. Mr. Laifer’s departure is not related to any disagreement with the Company or with the Company’s operations, policies or practices.
