Section 1 – Registrant’s Business and Operations.
Item 1.01Entry into a Material Definitive Agreement.
On May 30, 2006, R. G. Barry Corporation (the “Company”) and Daniel D. Viren, the Senior Vice President – Finance, Chief Financial Officer and Secretary of the Company, entered into a Third Amendment to Executive Employment Agreement (the “Third Amendment”). The Third Amendment provides for a one-year extension of the term of the Executive Employment Agreement dated as of June 5, 2000, as amended by the First Amendment to Executive Employment Agreement dated as of June 5, 2003, and the Second Amendment to Executive Employment Agreement dated May 16, 2005 (the “Employment Agreement”). The new expiration date of the Employment Agreement is June 5, 2008. Other than the extension of the term to June 5, 2008, the Employment Agreement is unchanged and remains in full force and effect.
