On December 12, 2016, Hancock Holding Company (the "Company") issued a press release announcing that it has commenced an underwritten public offering of 5 million shares of its Common Stock. The Company intends to grant the underwriters an option to purchase up to an additional 750,000 shares of its common stock. The offering will be made pursuant to a prospectus supplement filed as part of an effective shelf registration statement filed with the Securities and Exchange Commission on Form S-3. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
