Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 16, 2011, Karen R. Makowski was elected an Executive Vice President and Chief Administrative and Risk Officer of Chemung Canal Trust Company, Chemung Financial Corporation’s subsidiary bank. In this connection, her annual base salary will be $175,000 annually. She will also receive $25,000 of Restricted Stock, which vests over a five year period, 90 days after employment commences. Mrs. Makowski has held positions at Key Bank, SouthTrust Bank and Wachovia Bank.
