SB Financial Group, Inc. Announces Pricing of Common Stock Offering
Defiance, OH – February 9, 2018 –SB Financial Group, Inc. (NASDAQ:SBFG) (“SB Financial” or the “Company”), a diversified financial services company providing full-service community banking, mortgage banking, wealth management, and private client services, today announced the pricing of an underwritten public offering of 1,449,275 shares of the Company’s common stock at a public offering price of $18.00 per share for gross proceeds of approximately $26,086,950. The Company has granted the underwriter a 30-day option to purchase up to an additional 217,391 shares of its common stock. FIG Partners, LLC, is serving as the sole book-running manager for this offering. The Company expects to close the transaction, subject to customary conditions, on or about February 13, 2018.
The Company expects to receive net proceeds of approximately $24,566,950 after deducting underwriting discounts and commissions and estimated offering expenses. The Company intends to use the net proceeds from this offering for general corporate purposes, which may include (a) capital contributions to its bank subsidiary to increase regulatory capital and/or (b) investments at the holding company level.
