ITEM 1.01. ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT
On October 19, 2004, the Board of Directors of Navistar International Corporation approved a $500 increase in the meeting fees payable to Directors for board and committee meetings to $1,500 per meeting, effective November 1, 2004.

Navistar International Corporation (NYSE: NAV), the nation’s largest combined commercial truck, school bus and mid-range diesel engine producer, announced it will discuss future business opportunities next week at the Goldman Sachs Global Capital Goods Conference to be held at the New York Plaza Hotel.
