(the “Company”) issued a press release announcing its receipt on April 4, 2005 of an unsolicited mini-tender offer being made by TRC Capital Corporation (TRC), a Canadian private investment company, to purchase up to 4 million shares of the Company’s common stock, representing approximately 2.85 percent of the Company’s shares outstanding as of April 4, 2005, for a price of $25.50 per share in cash. The Company does not in any way recommend or endorse TRC’s mini-tender offer and expresses no opinion as to whether the Company’s shareholders should tender their shares in the mini-tender offer. A copy of the Company’s press release is attached hereto as Exhibit 99.1. The foregoing description of the press release is qualified in its entirety by reference to Exhibit 99.1.
