NOTICE OF ANNUAL MEETING OF STOCKHOLDERS
We will hold the 2007 annual meeting of stockholders of ITEX Corporation at our corporate offices located at 3326 - 160th Ave SE, Suite 100, Bellevue, WA 98008, on Friday, December 14, 2007, beginning at 10:00 a.m. local time, for the following purposes:
1. To elect directors;
2. To transact such other business as may properly come before the meeting.
The Board recommends a vote FOR each of the nominees for director and granting discretion on such other matters as may properly come before the meeting or any adjournment or postponement thereof.
Stockholders of record at the close of business on October 29, 2007, are entitled to notice of and to vote at the meeting or any postponement or adjournment.
