Item 2.02 Results of Operations and Financial Condition.
Pursuant to Item 2.02 of Form 8-K, the information contained in Item 9.01(c) and this Item 2.02 is furnished to, but not filed with, the Securities and Exchange Commission for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, and, therefore, shall not be incorporated by reference in any filing under the Securities Act of 1933, as amended.
On April 26, 2006, the Company issued a press release announcing its financial results for the third quarter ended March 31, 2006. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
Item 2.06 Material Impairments.
During the third quarter, the Company recorded a pre-tax restructuring charge of $7.1 million, or $0.67 per diluted share, net of tax, due to the write down of inventory and packaging costs associated with the discontinuation of certain product lines in the women’s division and payroll related costs associated with staff reductions. This charge will be more fully described in the Company’s Form 10-Q for the third quarter of fiscal 2006.
