On January 6, 2016, Carolina Financial Corporation (“Carolina Financial”) issued a press release announcing the execution of an Agreement and Plan of Merger, dated January 5, 2016, with Congaree Bancshares, Inc. (“Congaree”). The complete text of the news release is attached to this Form 8-K as Exhibit 99.1. In addition, Carolina Financial is providing supplemental information regarding the proposed acquisition in the investor presentation slides attached hereto as Exhibit 99.2.
