Item 1.01. Entry into a Material Definitive Agreement.
On December 22, 2005, PetroQuest Energy, Inc., through its wholly owned subsidiary PetroQuest Energy, LLC, entered into Amendment No. 1 to the Second Amended and Restated Credit Agreement with JPMorgan Chase Bank, N.A., Macquarie Bank Limited and Calyon New York Branch. The amendment increases the borrowing base under the credit agreement from $25 million to $40 million. No reductions in the borrowing base are scheduled to occur prior to the first borrowing base re-determination, which is scheduled to occur by April 1, 2006. In addition, the amendment modified one of the restrictive financial covenants under the credit agreement, increasing the maximum ratio of consolidated indebtedness to annualized consolidated EBITDA, determined on a rolling four quarter basis, from 2.5 to 1 to 3 to 1.
The foregoing description of the amendment is qualified in its entirety by reference to the amendment, which is incorporated herein by reference and attached hereto as Exhibit 10.1.
