Item 8.01 Other Events
On January 14, 2005, the Registrant elected Frederick R. Meyer, a director of the Registrant since 1991, to the Registrant’s Audit Committee replacing J. Jan Collmer who resigned from the Board in November. Mr. Meyer is a non-employee director and qualifies as “independent” under New York Stock Exchange (“NYSE”) listing standards. The election of Mr. Meyer to the Audit Committee restores the Registrant to compliance with the NYSE’s listing standards.
