ITEM 5.02 DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
(b) On October 4, 2011, Darrel L. Posegate resigned from his positions as the Executive Vice President of HF Financial Corp. (the “Company”) and President of Home Federal Bank, the Company’s operating subsidiary (the “Bank”), effective immediately. Pursuant to a Separation Agreement dated October 4, 2011 (the “Separation Agreement”) we agreed to pay Mr. Posegate separation payments aggregating to his base salary from September 1, 2011 to June 30, 2012 and medical (COBRA) benefits through June 30, 2012 (if eligible). Mr. Posegate agreed to a discharge of claims, along with certain agreements not to compete and not to solicit our employees for one year following the agreement. The description herein is qualified by reference to the Separation Agreement, which is attached hereto as Exhibit 10.1.
