On January 19, 2017, and responding to the shareholder vote at its last annual meeting, the Board of Directors of Universal Insurance Holdings, Inc. (“Company”) approved amendments to the Company’s bylaws to implement majority voting in uncontested director elections, subject to shareholder approval at the Company’s 2017 annual meeting of shareholders. If so approved, the amendments will first be in effect at the Company’s 2018 annual meeting of shareholders.
