Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
(d) The Board of Directors of the Company has appointed Steve G. Illes and Frank A. Petito, III, to serve as directors of the Company effective February 3, 2012. Each of Messrs. Illes and Petito were appointed to fill existing vacancies on the Board of Directors. On January 20, 2012, the Company issued a press release announcing the appointment of Messrs. Petito and Illes to the Board of Directors, a copy of which is attached hereto as Exhibit 99.1, and is incorporated herein by reference.
