(d) The Board of Directors of the Company has appointed Deborah G. Arnold to serve as a director of the Company effective February 3, 2012. Ms. Arnold was appointed to fill an existing vacancy on the Board of Directors. On February 8, 2012, the Company issued a press release announcing the appointment of Ms. Arnold to the Board of Directors, a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
