Explanation of Responses:

1. This amount includes certain shares previously held Indirectly by the Reporting Person's spouse.

2. The shares of Preferred Stock are convertible into common stock immediately upon issuance at the current conversion rate equivalent to a conversion price of $15.48 per share of common stock (which is a ratio of 1.9416 shares of common stock for each share of Preferred Stock held), subject to adjustment.

3. The Issuer has announced that, if not converted prior, the shares of Preferred Stock will be redeemed by the Issuer on July 9, 2021.
