NOTICE IS HEREBY GIVEN that the Annual Meeting of Shareholders of Sigma-Aldrich Corporation will be held at the Sigma-Aldrich Life Science and High Technology Center, 2909 Laclede Avenue, St. Louis, Missouri 63103, on Tuesday, May 4, 2004, at 11:00 A.M., Central Daylight Time, for the following purposes:

The enclosed proxy is solicited by the Board of Directors (the “Board”) of Sigma-Aldrich Corporation (the “Company”) for use at the Annual Meeting of Shareholders (the “Meeting”) to be held at the Sigma-Aldrich Life Science and High Technology Center, 2909 Laclede Avenue, St. Louis, Missouri 63103, on Tuesday, May 4, 2004, and any adjournments thereof. Any shareholder giving the proxy has the power to revoke it at any time before it is voted (i) by written notice mailed to and received by Sigma-Aldrich Corporation c/o ADP, 51 Mercedes Way, Edgewood, New York 11717, (ii) by submitting a later-dated proxy, or (iii) by attending the Meeting and casting a contrary vote. If the proxy is not so revoked or not revoked in person at the Meeting, such proxy will be voted either as designated or, if no designation is made, will be voted in favor of the nominees for directors, for the ratification of KPMG LLP as independent public accountants for 2004 and for the amendment of the Certificate of Incorporation.
Shareholders of record as of the close of business on March 5, 2004 are entitled to notice and will be entitled to vote at the Meeting and at any adjournments thereof. As of the close of business on March 5, 2004, there were a total of 69,194,224 shares of common stock outstanding and entitled to vote. Shareholders will be entitled to one vote for each share held on all matters, including the election of directors.
The cost of solicitation of proxies will be borne by the Company. In addition to the use of the mails, proxies may be solicited personally, or by telephone or telegraph, by employees of the Company without additional compensation. The Company has also retained Mackenzie Partners, Inc. to assist in soliciting proxies. The solicitor’s fee is estimated at $6,500 plus expenses, depending upon the extent of the solicitor’s activities. Brokers, dealers, banks and their nominees will be requested to forward proxy material to the beneficial owners of stock held by them of record, and the Company will reimburse them for their reasonable out-of-pocket and clerical expenses upon their request.
This Proxy Statement and accompanying form of proxy are first being sent to shareholders on or about March 29, 2004.

ELECTION OF DIRECTORS
Eight directors of the Company are to be elected to hold office until the next annual meeting or until their successors are elected and qualified. The persons named as proxies in the accompanying proxy card intend to vote for the election of the nominees named below. If for any reason any of the nominees are unable to serve or for good cause will not serve, the persons named as proxies may exercise discretionary authority to vote for substitutes proposed by the Board of Directors.
Nominees for Board of Directors
The following are the nominees for directors of the Company, their principal occupation, background, period of service as a director of the Company, other directorships, and age. All of the nominees are presently directors of the Company and were elected to their present terms as directors at the 2003 Annual Meeting of Shareholders. The Board of Directors of the Company has determined that each of the Company’s directors, other than Dr. David R. Harvey, and each member of the Audit Committee, Compensation Committee and Corporate Governance Committee is an “independent director” under Nasdaq rules. In addition, the Board of Directors has determined that, in its judgment, each member of the Audit Committee is independent within the meaning of Section 10A of the Securities and Exchange Act of 1934, as amended.
Nina V. Fedoroff | Director, Life Sciences Consortium and Biotechnology Institute, Pennsylvania State University, University Park, Pennsylvania, for more than five years. Member of the National Science Board and the Board of the American Association for the Advancement of Science. She has been a director of the Company since 1996. Age 61. | |

Each Director attended at least 75% of the aggregate of the meetings of the Board and its Committees on which they served during 2003. Each Director attended the Company’s 2003 Annual Meeting of Shareholders and is expected to attend the Company’s 2004 Annual Meeting of Shareholders.
Audit Committee
The Audit Committee assists the Board of Directors in fulfilling its oversight responsibilities with regard to (1) the integrity of the Company’s financial statements, (2) the Company’s compliance with legal and

regulatory requirements, (3) the independent public accountant’s qualifications and independence, (4) the performance of the Company’s internal audit function and independent public accountant, and (5) the Company’s accounting and financial reporting processes and audits of the Company’s financial statements. The Committee is directly responsible and has sole authority for the appointment, compensation, retention and oversight of the Company’s independent public accountant and meets with Company management, the internal auditors and the independent public accountant to (1) review the Company’s financial statements contained in the Company’s public earnings reports and the Company’s Annual Report on Form 10-K and quarterly reports on Form 10-Q, (2) review major issues regarding significant financial reporting issues and judgments made in connection with the preparation of the Company’s financial statements, (3) review legal matters that are reasonably likely to have a material effect on the Company’s financial statements, (4) review disclosures made by the Company’s Chief Executive Officer and Chief Financial Officer during their certification process for the Form 10-K or Form 10-Q’s, (5) discuss the adequacy and effectiveness of the Company’s internal financial controls and disclosure controls and procedures, (6) approve the annual internal audit plan and (7) receive regular reports of major findings by internal audit and of how management is addressing the conditions reported. The Board of Directors has determined that committee members meet Nasdaq independence requirements and that Mr. W. Lee McCollum is an Audit Committee financial expert, as defined in Item 401(h) of Regulation S-K. The Committee operates pursuant to a Charter which is attached hereto as Appendix A.
Compensation Committee
The Compensation Committee approves the policies and oversees the practices of the Company with respect to the compensation made available to the Company’s management so as to enable the Company to attract and retain high quality leadership in a manner consistent with the stated compensation strategy of the Company, internal equity considerations, competitive practice and the requirements of appropriate regulatory bodies. The Committee also administers the Company’s 2003 Long-Term Incentive Plan. The Board of Directors has determined that each member of the Compensation Committee is independent under Nasdaq rules.
Corporate Governance Committee
The Corporate Governance Committee makes recommendations to the Board of Directors concerning the selection, qualification and compensation of members of the Board and its committees, as well as the size and composition of the Board and its committees. The Committee will consider nominees recommended by shareholders for election to the Board of Directors provided the names of such nominees, accompanied by relevant biographical information, are submitted in writing to the Secretary of the Company. In February of each year, the Committee generally proposes to the Board nominees for directors to be elected at the Company’s Annual Meeting of Shareholders. Therefore, in order to be considered by the Committee, prospective nominee recommendations should be received by the Secretary no later than February 6th. The Committee also periodically reviews the Corporate Governance Guidelines and the Business Conduct Policy adopted by the Board and makes recommendations to the Board concerning any changes deemed appropriate in such Guidelines and Policy and the Board’s and the Company’s operations as provided therein. The Board of Directors has determined that committee members meet Nasdaq independence requirements. The Committee operates pursuant to a Charter which is attached hereto as Appendix B.
Director Compensation and Transactions
Directors who are employed by the Company receive no compensation or fees for serving as a director or for attending board or committee meetings. Directors who are not employed by the Company receive cash and stock compensation, as described below.

Cash Compensation
Each non-employee director received cash compensation of $20,000 in 2003 for being a member of the Board and its committees. In addition, each non-employee director also receives a fee for his or her participation in Board and committee meetings. Stock Compensation
The Company’s 2003 Long-Term Incentive Plan provides non-employee directors with stock compensation as follows:
• | Newly elected directors will be granted options to acquire 10,000 shares of common stock upon the date of his or her initial election to the Board; and |
• | Eligible directors serving on the Board on the day after any annual shareholder meeting, who have served on the Board for at least six months prior to the annual meeting, will be granted options to acquire 4,000 shares of common stock on such date. |
The seven non-employee directors each received options to purchase 4,000 shares of common stock in 2003. If elected at the Meeting, the seven non-employee directors will receive options to purchase 4,000 shares of common stock the day after that Meeting.
The option price per share is equal to the fair market value of the common stock on the date the option is granted. No option will vest or may be exercised to any extent until the holder has continually served as a director of the Company for at least three months from the date of grant, provided that such options shall vest and become exercisable upon termination of service by reason of death, disability or retirement, subject to the terms and conditions of the plan.

The policy was implemented in 2000, with three years allowed for participants in the United States and five years allowed for participants outside of the United States, to achieve the required investment level. 2003 Long-Term Incentive Plan (2003 LTIP)
The Company’s Long-Term Incentive Plan is administered by the Compensation Committee of the Board. See “Compensation Committee Report on Executive Compensation—Incentive Compensation” on page 15 of this Proxy Statement for information concerning the plan.
Stock Options
Stock options are awarded under the terms of the 2003 LTIP. The Compensation Committee grants options to employees as the Committee determines, taking into account the employees’ duties, their present and potential contributions to the success of the Company and such other factors as the Committee deems relevant. The exercise price of the options is determined by the Committee; however, no option may have an exercise price less than 100% of the fair market value of the shares at the date of the grant. Full payment for stock being purchased must be made in (i) cash or (ii) at the Committee’s discretion in Company common stock at the time an option is exercised or (iii) at the Committee’s discretion, a combination of (i) and (ii). Options are not transferable other than by will or by the laws of descent and distribution. Options expire ten years from the date of grant, although the Committee may grant non-qualified options with longer terms to participants outside of the United States. Options will generally terminate no later than twelve months after an optionee’s termination of employment without cause (as defined in the plan), retirement, death or disability.

Retirement Security Value Plan (Pension Plan)
The Sigma-Aldrich Retirement Security Value Plan is a tax-qualified, noncontributory retirement plan that provides all eligible employees, including the named executive officers, with a retirement benefit based upon a formula. The plan provides an annual addition to each participant’s account, ranging from 2% to 5% of salary, depending on years of service. Each account is also credited with interest annually. In no event will the benefit provided by the Retirement Security Value Plan at retirement be less than the benefit provided by the previous pension plan formula for any employee who was a participant in the plan as of January 1, 1996. Pension credits have been and will continue to be restricted by the Internal Revenue Code limitations above certain levels of compensation, and the Company does not have a supplemental plan to provide benefits based upon earnings above these limitations. Taking into account these limitations and assuming that each executive officer continues employment with the Company until the normal retirement age of 65 at his current cash compensation level and that interest rates remain at December 31, 2003 levels, Drs. Harvey, Nagarkatti and Wicks and Messrs. Hogan and Julien would receive upon retirement an annual pension benefit in the form of a single life annuity of $67,884, $67,455, $77,372, $20,865 and $58,660, respectively, or at his election, a lump sum distribution based on the present value of such annual benefits.
Supplemental Retirement Benefits
As part of the overall review of compensation and benefits, the Compensation Committee reviewed retirement benefits for the named executives and others compared to competitors and companies comparable in size with similar growth goals and found that the Company’s benefits were not competitive. In the first quarter of 2004, the Board of Directors approved the implementation of a supplemental retirement plan that will cover, among others, the named executive officers other than Dr. Harvey effective January 1, 2004. The Company will maintain a bookkeeping account reflecting annual credits of 6%, or more at the discretion of the Chief Executive Officer with respect to some or all participants, of base salary. After five years of participation in the plan, participants will vest in 50% of the credits, including investment earnings (or losses) and, thereafter, will vest at the rate of 10% annually until fully vested after 10 years. In the event of a participant’s termination by the Company (other than for cause) or by the participant for good reason within two years after a change of control that occurs while the participant is employed with the Company, or a termination on account of death, disability or retirement, the participant will fully vest immediately in any credits and earnings (or losses) as of the date of termination. For all other terminations the participant will forfeit any unvested credits and earnings (or losses).
Employment and Other Agreements
Employment Agreement with Dr. Harvey
The Company entered into an employment agreement, effective January 1, 2003, (the “Employment Agreement”) with Dr. Harvey for an initial term extending through January 1, 2006, with automatic one-year renewal periods thereafter unless 180 days prior notice is provided. Under the Employment Agreement, Dr. Harvey will serve as the Company’s Chief Executive Officer or in any other capacity, as determined by the Board of Directors. On February 10, 2004, the Company amended the Employment Agreement (the “Employment Agreement as Amended”).
Pursuant to the Employment Agreement as Amended, Dr. Harvey will receive a minimum annual base salary of $725,000, and he is also eligible to participate in the Company’s annual cash bonus program and will be eligible for annual performance bonuses (with a target bonus of 67% of his annual base salary). In addition, Dr. Harvey will be entitled to participate in all retirement, disability, pension, savings, medical and dental insurances and other fringe benefits or plans of the Company generally available to employees. The Compensation Committee will review Dr. Harvey’s annual base salary and bonus opportunity each year but may not reduce Dr. Harvey’s base salary below $725,000. During the two-year period commencing on a Change of Control (as defined in the Employment Agreement as Amended), Dr. Harvey’s base salary and bonus opportunity may not be reduced below the level established by the Compensation Committee immediately prior to the Change of Control.

Pursuant to the Employment Agreement as Amended, the Compensation Committee granted to Dr. Harvey options to purchase 40,000 shares of Common Stock at an exercise price of $57.96 equal to the fair market value of the Common Stock on February 10, 2004 and 25,900 shares of restricted Common Stock on February 10, 2004. Dr. Harvey also has a performance bonus award under which he may earn up to $1,000,000 cash as of January 1, 2006. One-half of these awards will vest on January 1, 2006 if Dr. Harvey is still employed by the Company, and all or a portion of the other half of the awards will vest on January 1, 2006 if Dr. Harvey is still employed by the Company and the Company achieves performance goals established by the Board of Directors. The performance goals will be based upon the Company’s achievement of performance equal to or better than the average performance of its peers with respect to one or more or a combination of revenue growth, earnings per share growth and growth in operating cash flow. The Board of Directors may modify the peer group annually, or may determine that the Company’s performance will be measured against a weighted market basket index of companies in the three sectors corresponding to the Company’s business – life sciences, biotechnology and chemicals. These three sectors will be appropriately weighted to reflect the percentage of the Company’s business in each such sector. In determining performance of the Company relative to its peers, the Board of Directors in its discretion will make appropriate adjustments for acquisitions or divestitures, unusual or nonrecurring items which have a material effect and the impact of currency adjustments.
If the Company achieves the desired level of performance in calendar years 2003, 2004, and/or 2005, 16-2/3% of the package will vest for each year such performance is achieved provided Dr. Harvey is employed on January 1, 2006. Even if the Company does not achieve the desired level of performance in each of 2003, 2004, and 2005, the other half of the package will nonetheless vest in full if Dr. Harvey is employed on January 1, 2006 and the Company achieves the desired level of performance for the three-year period beginning January 1, 2003 and ending January 1, 2006.
The vesting of the awards will be accelerated if within 24 months after a Change of Control Dr. Harvey’s employment is terminated by the Company or if Dr. Harvey terminates his employment for Good Reason (as defined in the Employment Agreement as Amended). A pro rata portion of the awards will vest in the event of the termination of Dr. Harvey’s employment as a result of his death or disability prior to January 1, 2006. A pro rata portion of 50% of the awards shall vest in the event of Dr. Harvey’s involuntary termination with Cause (as defined in the Employment Agreement as Amended) prior to January 1, 2006.
If the Company terminates Dr. Harvey’s employment for Cause or Dr. Harvey voluntarily terminates his employment without Good Reason (as defined in the Employment Agreement as Amended) prior to the end of the employment period, Dr. Harvey will receive his base salary through the date of termination but will not be entitled to any severance compensation or to any further base salary, bonus or benefits, unless otherwise provided by the applicable benefit plan or program. If the Company terminates Dr. Harvey’s employment without Cause before or more than 24 months following a Change of Control (excluding any involuntary termination which is a direct result of a Change of Control and which occurs within 60 days before a Change of Control), Dr. Harvey will receive all accrued and unpaid base salary as of the date of termination and severance pay equal to one year of base salary and paid in installments over one year. If, within 24 months after a Change of Control or within 60 days before a Change of Control in the event of an involuntary termination without Cause which is a direct result of the Change of Control, the Company terminates Dr. Harvey’s employment without Cause or Dr. Harvey terminates his employment with Good Reason, Dr. Harvey will receive all accrued and unpaid base salary as of the date of termination and severance pay equal to three years of base salary and paid in installments over three years. All payments will be subject to deductions for customary withholdings, including federal and state withholding taxes and social security taxes.
The Company’s obligations will not be subject to offset to the extent Dr. Harvey receives compensation from any subsequent employer.

The Company’s obligations under the Employment Agreement as Amended will terminate on the last day of the month in which Dr. Harvey dies or on the date as of which he first becomes entitled to receive disability benefits under the Company’s long-term disability plan. The Company will pay to Dr. Harvey or his estate all accrued and unpaid base salary as of such date.
If any payment or distribution by the Company to Dr. Harvey would be subject to excise tax under Section 4999 of the Internal Revenue Code of 1986, as amended, then the payments will be decreased to the greatest amount that could be paid to Dr. Harvey such that receipt of the payments would not give rise to any such excise tax.
Dr. Harvey is also subject to current and post-employment confidentiality restrictions and non-competition and non-solicitation covenants during and for two years following his employment. The Employment Agreement as Amended provides that Dr. Harvey will use his best efforts both during and after his employment with the Company to protect the confidential, trade secret and/or proprietary character of the Company’s confidential information. In addition, Dr. Harvey may not compete with the Company, directly or indirectly, and may not solicit the Company’s customers or employees at any time during his employment or for two-years following the termination of his employment. Pursuant to the Employment Agreement, Dr. Harvey will also disclose and assign his right in all of his work-related ideas, inventions and discoveries to the Company except for patents currently held by Dr. Harvey developed outside of his employment with the Company.
Employment Agreements with Other Named Executive Officers
The Company has Employment Agreements with Drs. Nagarkatti and Wicks and Messrs. Hogan and Julien that provide severance compensation (with an offset for monies earned elsewhere under certain defined situations) to each of these executives in the event of his cessation of employment with the Company or any of its subsidiaries after the occurrence of a Change in Control of the Company. “Change in control” is defined as (a) a change in the composition of a majority of the Board of Directors, (b) an acquisition of more than 25% of the Company’s Common Stock or voting power, except certain acquisitions by specified types of affiliates, (c) a reorganization, merger, share exchange, or consolidation, unless (i) the Company’s shareholders possess more than 50% of the surviving company’s outstanding common stock and the combined voting power of the outstanding voting stock entitled to vote in the election of directors, (ii) no person or group who did not own 25% or more of the Company’s Common Stock or the outstanding voting stock entitled to vote in the election of directors before the change in control owns 25% or more of the common stock or the outstanding voting stock entitled to vote in the election of directors of the surviving company, and (iii) at least a majority of the Board of Directors of the surviving company were incumbent directors of the Company before the change in control, (d) the sale or disposition of all or substantially all of the Company’s assets, or (e) a shareholder-approved liquidation or dissolution of the Company.
These Employment Agreements may be terminated upon 60 days notice given by either the executive or the Company, provided that this 60 day termination right will no longer be available to the Company after a Change in Control of the Company. Unless notice is given to the contrary, the three-year term of the Employment Agreements is automatically extended for an additional year at the end of each agreement year. Compensation covered by the Employment Agreements is set annually by either the Compensation Committee or the Board of Directors. After a change in control of the Company, the executive’s total cash compensation (salary plus bonus) may not be reduced below the level in effect immediately prior to the change in control. After a change in control, if the executive’s employment terminates, the executive shall continue to receive the same compensation through the remaining term of the employment agreement as severance. The amount of severance shall be reduced by any compensation received by the executive for personal services from employment other than with the Company during the term of the employment agreement. No payments are made under the

Employment Agreements if the cessation of employment is due to death. If a change in control of the Company had occurred as of March 5, 2004, and the employment of the named executive officers of the Company had been terminated, Drs. Nagarkatti and Wicks and Messrs. Hogan and Julien would have collectively received $3,842,000.
COMPENSATION COMMITTEE REPORT ON EXECUTIVE COMPENSATION
The Committee
The Committee is composed of the three members named below, none of whom is an employee of or is involved in any interlocking relationship with the Company.
Compensation Policy
The Committee believes that increasing share value on a long-term basis is the goal of shareholders. The Company’s compensation policy is designed to motivate employees to improve productivity and performance, resulting in increased profitability and, thus, improvement in shareholder value. Compensation for the Company’s executive officers includes three components: (1) salary, (2) an annual cash bonus and (3) long-term incentive compensation. The Company has no long-term employment contracts with any of its executive officers other than the Employment Agreements described on page 11 of this Proxy Statement. The Company’s policy is to structure compensation such that any executive compensation in excess of $1 million is tax deductible for the Company.
The Company uses a national consulting firm to review the compensation of its executive officers compared to competitors and companies comparable in size with similar growth goals. The consultant compared the compensation of the executive officers, including the Chief Executive Officer (CEO), to total compensation received by executives in similar positions at competitor and peer companies. Based on the review, the Committee made recommendations on the CEO’s and other executive officer’s compensation for 2003.
Components of Executive Compensation
Salary
The Committee reviews with the CEO an annual salary plan for the Company’s executive officers and then approves such plan with any modifications it deems appropriate. The Committee approves the salary plan after assessing the Company’s overall performance, including a general review of the operating results of the Company, its competitors and its peers and the executive officers’ responsibilities, performance and compensation received by executives in similar positions. The review of operating results is general in nature. In reviewing the individual executive officers’ responsibilities and performance, the Committee also considers their non-financial contributions to the Company, such as the quality and progress of research, marketing, production and process improvement activities. The Committee performs its review in a general, subjective manner with consideration given to all factors. The Committee generally believes that salaries for the Company’s executive officers should be at the 50th percentile of comparable companies if performance is similar to those peer companies.
Based upon the business knowledge and experience of the Committee members, they believe that the executive officers’ salaries are appropriate in view of the level of responsibilities and contributions by each executive officer.
Cash Bonus Plan
The Company has a cash bonus plan for all management employees to further align the interests of management with its shareholders. The bonus for eligible employees is based on the Company achieving certain predetermined financial goals.

For 2003, the performance goals were based on sales and operating income growth and return on assets. The maximum cash payment for eligible employees was set at between 10% and 67% of their annual salary, based on their expected contribution to meeting Company objectives. Based on 2003 sales and operating income growth and return on assets, actual cash bonus payments in 2004 were between 6.2% and 41.2% of eligible employees’ annual salaries.
Incentive Compensation
The Committee considers the desirability of awards under the 2003 LTIP. The 2003 LTIP provides for the issuance of stock options, stock appreciation rights, restricted stock, performance shares and other stock-based awards.
The Committee believes that granting stock based awards is desirable because it directly correlates long-term compensation of key employees with share price appreciation. In determining grants, the Committee generally considers the same factors as those discussed under Salary above. The Committee does not consider the amounts or terms of prior stock grants in determining current grants. Stock options for 130,000 shares of the Company’s common stock were granted to the named executive officers in 2003. See “2003 Long-Term Incentive Plan” on page 9 of this Proxy Statement for additional information concerning this plan.
2003 Chief Executive Officer’s Compensation
The Committee’s approach is to have a large amount of Dr. Harvey’s compensation dependent on Company performance. In measuring performance, consideration is given to the various measures described in the Components of Executive Compensation – Salary on page 14 of this Proxy Statement.
In setting Dr. Harvey’s salary for 2003, the Committee recognized Dr. Harvey’s leadership, as well as considered compensation levels for CEO’s of competitors and companies of similar size and with similar performance. Based on this review, the Committee maintained his salary at the 2002 level.
Dr. Harvey will receive a bonus of $298,401 for 2003 and received options for 50,000 shares of stock in 2003. The bonus is pursuant to the Company’s Cash Bonus Plan (described on page 14 of this Proxy Statement) and reflects improved growth in operating income and a higher return on assets. The option award reflects Dr. Harvey’s level of responsibilities.
The Compensation Committee met separately without the presence of Dr. Harvey to evaluate his performance. Subsequently, the full Board met without the presence of Dr. Harvey to review his performance. The Board then met with Dr. Harvey to review his 2003 performance.
For the other executive officers, the Committee determined that 2003 compensation should reflect the Company’s performance, the level of the officers’ responsibilities and any changes thereto during the year, and the officers’ contribution to strategic initiatives that will drive future growth. The Committee believes that the compensation policies and programs it has implemented have committed the executive officers of the Company to achieve long-term improvement in operating results.

RATIFICATION OF APPOINTMENT OF INDEPENDENT PUBLIC ACCOUNTANTS
The Audit Committee of the Board of Directors has appointed KPMG LLP as independent public accountants to conduct the annual audit of the Company’s accounts for the fiscal year ending December 31, 2004 and the Board of Directors has further directed that management submit the appointment of the Company’s independent public accountants for ratification by the shareholders. Although action by the shareholders in this matter is not required by the Company’s By-laws or otherwise, the Board of Directors believes that it is appropriate to seek shareholder ratification of this appointment in light of the important role played by the independent public accountants in maintaining the integrity of the Company’s financial controls and reporting. If the stockholders fail to ratify the selection, the Audit Committee will reconsider whether or not to retain that firm.
Representatives of KPMG LLP are expected to be present at the Meeting and will have the opportunity to make a statement if they wish to do so, and are expected to be available to respond to appropriate questions.
The Board of Directors recommends a vote FOR the ratification of the appointment of KPMG LLP as independent public accountants for 2004.
PROPOSAL TO AMEND CERTIFICATE OF INCORPORATION TO INCREASE NUMBER OF SHARES OF AUTHORIZED COMMON STOCK
The Company is authorized by its Certificate of Incorporation, as amended, to issue 200,000,000 shares of $1.00 par value common stock. The Board of Directors proposes to increase the authorized common stock to 300,000,000 shares.
As of March 5, 2004, the Company had 69,194,224 shares of common stock outstanding. The 2003 Long-Term Incentive Plan permits the granting of stock options to purchase up to 5,500,000 shares of common stock to be increased by any shares forfeited under the Share Option Plans of 1987, 1995, and 2000 and the Directors’ Non-Qualified Share Option Plan of 1998. Options forfeited under the 2003 Long-Term Incentive Plan can be reissued. As of March 5, 2004, options to purchase 843,350 shares of common stock had been granted and are outstanding with no options having been exercised. As of March 5, 2004 the Share Option Plans of 1987, 1995 and 2000 and the Directors’ Non-Qualified Share Plan of 1998 had 3,014,785 shares of common stock subject to options. No further options will be issued under these plans.

The purposes for which the additional 100,000,000 shares of common stock might be used from time to time may include stock dividends, stock splits, mergers, acquisitions, public or private offerings, employee benefit plans and other corporate purposes. Although there is no present intent to issue any of the additional common stock, if authorized, nevertheless the Board deems it advisable and recommends that the Company have the stock available for issuance, if, when and as future facts and circumstances dictate. These shares will be available for issuance at such times and for such purposes as the Board of Directors deems advisable without further action of the Company’s shareholders, except as may be limited by applicable laws and regulations. The Board does not intend to issue any stock except on terms or for reasons which it deems to be in the best interest of the Company. In the Board’s judgment the additional 100,000,000 authorized shares, together with the existing authorized but unissued shares, should provide adequate common stock for the purposes recited above for the next few years, and thus, eliminate the time and expense involved in any similar future shareholder votes on such proposal.
Because shareholders will have no preemptive rights to acquire any of the proposed authorized shares of common stock, the issuance of common stock, other than on a pro-rata basis to all current shareholders, would reduce the current shareholders proportionate interests. However, in any such event, shareholders wishing to maintain their interests may be able to do so through normal market purchases. Authorizations to increase the common stock will not affect the rights of existing shareholders to receive cash dividends from funds legally available for dividend payments.
Further, although the proposal to increase the Company’s authorized common stock is not intended to encourage or discourage any attempts by third parties to gain control of the Company, it is possible that the proposal, if approved by the shareholders, could theoretically have such an effect. For example, such additional authorized shares, upon issuance by the Company, could have the effect of diluting the voting power of the present outstanding shares of the Company which would, in turn, have the practical effect of frustrating the efforts of third parties attempting a merger or otherwise trying to gain control of the Company. Therefore, the proposal could be deemed to be disadvantageous by preventing the shareholders from participating in an offer from a third party whereby the shareholders could receive for all or some of their shares a premium above market value at the time of the attempt to gain control.
An affirmative vote by the holders of a majority of the outstanding stock as of March 5, 2004 entitled to vote is required to authorize the proposed increase in the authorized shares.
The Board of Directors recommends a vote FOR the approval of the amendment to the Company’s Certificate of Incorporation.

In addition to the above amounts, we paid Arthur Andersen LLP, the Company’s previous independent public accountants, $20,000 for the review of the financial statements for the quarter ended March 31, 2002. Arthur Andersen LLP ceased operations and was dismissed as the Company’s auditor on June 25, 2002.
The Audit Committee preapproves all fees paid to KPMG LLP prior to the commencement of services. The Audit Committee has considered whether the provision of non-audit services by the Company’s principal auditor is compatible with maintaining auditor independence.
CHANGE IN INDEPENDENT PUBLIC ACCOUNTANTS
On June 25, 2002, the Board of Directors of the Company, based on the recommendation of its Audit Committee, dismissed Arthur Andersen LLP (“Andersen”) as the Company’s independent public accountants and engaged KPMG LLP (“KPMG”) to serve as the Company’s independent public accountants for the fiscal year 2002, effective immediately.
Andersen’s reports on the Company’s consolidated financial statements as of and for each of the fiscal years ended December 31, 2001 and 2000 did not contain an adverse opinion or disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope or accounting principles.
During the fiscal years ended December 31, 2001 and 2000 and through June 25, 2002, there were no disagreements with Andersen on any matter of accounting principle or practice, financial statement disclosure, or auditing scope or procedure which, if not resolved to Andersen’s satisfaction, would have caused it to make reference to the subject matter in connection with its report on the Company’s consolidated financial statements for such years; and there were no reportable events as defined in Item 304(a)(1)(v) of Regulation S-K.
The Company requested Andersen to furnish a letter addressed to the Securities and Exchange Commission stating that Andersen agrees with the statements made above by the Company. A copy of this letter addressed to the Securities and Exchange Commission, dated June 27, 2002, is filed as Exhibit 16 to the Report on Form 8-K filed with the Securities and Exchange Commission by the Company on June 28, 2002.
During the years ended December 31, 2001 and 2000 and through June 25, 2002, the Company did not consult KPMG with respect to the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s consolidated financial statements, or any other matters or reportable events as set forth in Items 304(a)(2)(i) and (ii) of Regulation S-K.
The Company provided Andersen and KPMG with a copy of the foregoing disclosures as required by the Securities and Exchange Commission rules, and did not receive any statement from either Andersen or KPMG regarding the disclosures.

VOTE REQUIRED; OTHER MATTERS
The affirmative vote of the holders of a majority of the shares that are represented by proxy at the Meeting and are entitled to vote on the subject matter is required to elect directors, to ratify the appointment of KPMG as the Company’s independent public accountants and approve any other matters properly brought before the Meeting. The affirmative vote of the holders of a majority of the shares outstanding is required to approve the amendment to the Certificate of Incorporation. Shares represented by proxies which are marked “withhold authority” with respect to the election of any one or more nominees as directors and proxies which are marked to abstain or vote against the ratification of the independent public accountants, are marked to abstain or vote against the amendment to the Certificate of Incorporation or to deny discretionary authority on other matters will be counted for the purpose of determining the number of shares represented by proxy at the Meeting. HOUSEHOLDING OF ANNUAL MEETING MATERIALS
The Securities and Exchange Commission permits registrants to send a mailing containing a single annual report and proxy statement to any household at which two or more shareholders reside if the registrant believes they are members of the same family. The procedure, referred to as householding, reduces the volume of duplicate information shareholders receive and reduces the expense to the Company. The Company has not implemented this householding rule with respect to its record holders; however, a number of brokerage firms have instituted householding which may impact certain beneficial owners of Common Stock. SHAREHOLDER PROPOSALS
Written proposals of shareholders to be included in the Proxy Statement and Proxy for the next Annual Meeting of Shareholders must have been received at the Company’s principal executive office, 3050 Spruce Street, St. Louis, Missouri 63103, no later than November 30, 2004. Upon receipt of any such proposal, the Company will determine whether or not to include such proposal in the Proxy Statement and Proxy in accordance with regulations governing the solicitation of proxies.

In certain cases, notice may be delivered and received later if the number of directors to be elected to the Board of Directors is increased. AUDIT COMMITTEE CHARTER
SIGMA-ALDRICH CORPORATION
The Board of Directors of Sigma-Aldrich Corporation (the “Company”) hereby adopts this Charter to govern the composition of its Audit Committee (the “Committee”) and the scope of the Committee’s duties and responsibilities and to set forth the specific actions that the Board of Directors expects the Committee to undertake in fulfilling those duties and responsibilities.
I. STATEMENT OF PURPOSE
The Committee will (A) assist the Board of Directors in fulfilling the Board of Directors’ oversight responsibilities with regard to (1) the integrity of the Company’s financial statements, (2) the Company’s compliance with legal and regulatory requirements, (3) the independent public accountant’s qualifications and independence, (4) the performance of the Company’s internal audit function and independent public accountant, and (5) the Company’s accounting and financial reporting processes and audits of the Company’s financial statements and (B) prepare the Audit Committee report that Securities and Exchange Commission (“SEC”) rules require be included in the Company’s annual proxy statement. It is not the duty of the Committee to plan or conduct audits or to determine that the Company’s financial statements are complete and accurate and prepared in accordance with generally accepted accounting principles. The primary responsibility for the Company’s financial statements and internal controls rests with the Company’s management.
The Board of Directors recognizes that the Committee necessarily will rely on the advice and information it receives from the Company’s management, internal auditors and independent public accountant. Recognizing these inherent limitations on the scope of the Committee’s review, however, the Board of Directors expects the Committee to exercise independent judgment in assessing the quality of the Company’s financial reporting process and its internal controls. The Board of Directors also expects that the Committee will maintain free and open communication with the other directors, the Company’s independent and internal auditors and the financial management of the Company.
II. COMPOSITION OF THE COMMITTEE
The Committee shall be comprised of at least three members of the Board of Directors, with the number of members to be determined from time to time by the Board of Directors. The members shall be recommended by the Corporate Governance Committee and appointed by the Board of Directors. Each member of the Committee shall, in the judgment of the Board of Directors, meet all qualifications set forth in The Nasdaq Stock Market Rules or any other applicable rules governing audit committees of such other exchange on which the Company’s stock may be traded from time to time, or any successor rules, and any other legal or regulatory requirements, including (A) being independent as defined under Rule 4200 of The Nasdaq Stock Market Rules, (B) meeting the criteria for independence set forth in Section 301 of the Sarbanes-Oxley Act and Rule 10A-3(b)(1) of the Securities Exchange Act of 1934, (C) not having participated in the preparation of the financial statements of the Company at any time during the past three years, (D) not owning or controlling 20% or more of the Company’s voting securities, or such lower measurement as may be established by the SEC in rulemaking under Section 301 of the Sarbanes-Oxley Act, and (E) being able to read and understand fundamental financial statements. In addition, at least one member of the Committee must be a “financial expert” as defined by the SEC and in Rule 4350(d) of The Nasdaq Stock Market Rules.
III. MEETINGS.
The Committee shall meet at least four (4) times annually or more frequently as the Committee may from time to time determine to be appropriate. Unless the Board has previously designated a Chair, the

members of the Committee may designate a Chairman by majority vote. A majority of Committee members shall constitute a quorum. The action of a majority of those present at a meeting shall constitute the act of the Committee. One or more of these meetings shall include separate executive sessions with the Company’s management, the independent public accountant and the Director-Internal Audit.
Further meetings shall occur, or matters shall be submitted for action by unanimous written consent, when deemed necessary or desirable by the Committee, its Chairman or the Chief Executive Officer. In addition, teleconferences may also be held at such other times as shall be reasonably requested by the Chairman of the Board of Directors, the Chairman of the Committee, the independent public accountant, the Director-Internal Audit or the Company’s financial management.
The Chair shall prepare the agenda for Committee meetings, subject to the right of the Committee members to suggest additional items for the agenda. Agendas are shared with Committee members in advance of meetings. As a general rule, subject to appropriate procedures to protect the confidentiality of particularly sensitive information, appropriate background and explanatory materials concerning matters to be discussed at Committee meetings shall be sent to Committee members in advance.
At the invitation of the Chair, meetings may be attended by the Chairman of the Board of Directors, the Chief Executive Officer, the Chief Financial Officer, the Corporate Controller, the Treasurer, the Director-Internal Audit, representatives from the independent public accountant, and other members of management and persons as are appropriate to matters under consideration.
The Committee and its members shall have complete access to management. The Committee may engage the services of outside advisors if it shall determine such services to be necessary or appropriate for the proper discharge of its duties. Should any member of the Committee believe that participation of management or outside advisors in discussion of a particular subject would be advisable, they are encouraged to make that request.
Written minutes pertaining to each meeting will be filed with the Chairman of the Board of Directors by the Committee Chairman or his or her delegate. The Chair will present an oral report of Committee meetings and other proceedings at each Board meeting. Proposals which require Board action will normally be submitted by the Committee to the Board in writing.
IV. RESOURCES AND AUTHORITY
The Committee shall have the resources and authority appropriate to discharge its duties and responsibilities, including full access to the Company’s employees and officers and internal or external advisors or consultants. If in the course of fulfilling its duties the Committee wishes to consult with outside legal, accounting or other advisors, the Committee may retain these advisors without seeking the Board of Directors’ approval. The Company shall provide for appropriate funding, as determined by the Committee, for payment (i) of compensation to the independent public accountant for the purpose of preparing or issuing an audit report or performing other audit, review or attest services for the Company, (ii) to any advisors employed by the Committee and (iii) of ordinary administrative expenses of the Committee necessary or appropriate for carrying out its duties. However, no Committee member may accept any consulting, advisory, or other compensatory fee from the Company other than for Board of Directors service.

V. AUTHORITIES, DUTIES AND RESPONSIBILITIES OF THE COMMITTEE
The authorities, duties and responsibilities of the Committee shall include the following:
A.Independent Public Accountant
As part of its authorities, duties and responsibilities related to the independent public accountant, the Committee shall:
1. Be directly responsible and have sole authority for the appointment, compensation, retention and oversight of the work of the Company’s independent public accountant (including resolution of disagreements between management and the independent public accountant regarding financial reporting) for the purpose of preparing or issuing an audit report or related work or performing other audit, review or attest services for the Company. The independent public accountant shall report directly to the Committee.
2. Approve all auditing services (which may entail providing comfort letters in connection with securities underwritings) and non-audit services (other than those prohibited under Section V.A.3), including the fees therefor, to be provided to the Company by the independent public accountant prior to engagement of the independent public accountant to provide such services, with such de minimus exceptions as are permitted under the Section 10A(i) of the Securities Exchange Act of 1934, Rule 2-01(c)(7) of Regulation S-X or other applicable law or rule of the Securities and Exchange Commission. The Committee may delegate to one or more designated members of the Committee who are independent directors of the Board of Directors the authority to grant such preapprovals, provided that policies and procedures are detailed as to the particular service and the pre-approval decisions of any member to whom authority is so delegated is presented to the full Committee at each of its scheduled meetings. Without limiting the generality of the foregoing, the Committee shall review all tax services with respect to, among other things, their impact on the independence of the audit firm.
3. Consider any non-audit assignments awarded to the independent public accountant and determine whether or not these are compatible with maintaining the general independence of the independent accounting firm, provided that the Committee shall not permit the Company’s independent public accountant to perform any of the non-audit services prohibited under Section 10A(g) of the Securities Exchange Act of 1934, Rule 2-01(c)(4) of Regulation S-X or other applicable law or rule of the Securities and Exchange Commission, except to the extent that the Public Accounting Oversight Board provides an exemption.
4. Confirm that the Company’s Chief Executive Officer, Controller, Chief Financial Officer, Treasurer, or any person serving in an equivalent position for the Company did not participate, as an employee of the Company’s independent public accountant, in any capacity in the Company’s audit for the one year period preceding the date of the initiation of the audit.
5. Set clear hiring policies for employees or former employees of the independent public accountant by the Company to address conflicts of interest and pressures that may exist for employees of the independent public accountant that may be seeking or at some point seek employment with the Company.
6. Evaluate the qualifications, performance and independence of the Company’s current independent public accountant, including whether the independent public accountant’s quality controls are adequate and the provision of non-audit services is compatible with maintaining the public accountant’s independence, and present the Committee’s conclusions to the full Board on at least an annual basis. As part of such evaluation, the Committee shall:
a. obtain and review a report by the Company’s independent public accountant describing:
i. the audit firm’s internal quality-control procedures, and

ii. any material issues raised by the most recent internal quality-control review or peer review of the audit firm or by any inquiry or investigation by governmental or professional authorities, within the preceding five years, respecting one or more audits carried out by the audit firm, and any steps taken to deal with any such issues;
b. receive the written disclosures and letter from the Company’s independent public accountant contemplated by Independence Standards Board Standard No. 1,Independence Discussions with Audit Committees, as may be modified or supplemented, and discuss with the independent public accountant any issues required to be discussed regarding their objectivity and independence;
c. review and evaluate the lead partner of the independent public accountant;
d. confirm that the partners of the independent public accountant have been rotated from the Company engagement as required by Rule 2-01(c)(6) of Regulation S-X or other applicable law or rule of the Securities and Exchange Commission;
e. consider whether, in order to assure continuing public accountant independence, there should be regular rotation of the audit firm itself;
f. receive assurances from the independent public accountant that its compensation policies comply with Rule 2-01(c)(8) of Regulation S-X and other applicable laws and Securities and Exchange Commission rules, including, without limitation, prohibiting the establishment of compensation or the allocation of partnership units to audit partners based on the sale of non-audit services to the partner’s audit clients; and
g. confirm that the independent public accountant is registered with the Public Company Accounting Oversight Board if and when such registration is required.
In making its evaluation, the Committee should take into account the opinions of management and the Company’s internal auditors. Based on the representations regarding independence and the results of such evaluation, determine whether to re-appoint or replace the independent public accountant and present its conclusions to the full Board of Directors.
7. Meet with the independent public accountant and financial management of the Company in advance of the annual audit to review its proposed scope, the proposed scope of the quarterly reviews, and the procedures to be followed in conducting the audit and the reviews.
8. Review and discuss with the Company’s independent public accountant:
a. reports of (i) all critical accounting policies and practices to be used, (ii) all alternative treatments of financial information within generally accepted accounting principles for policies and practices related to material items that have been discussed with management officials of the Company, including ramifications of the use of such alternative disclosures and treatments, and the treatment preferred by the Company’s independent public accountant, and (iii) other material written communications between the Company’s independent public accountant and the management of the Company, such as any management letter or schedule of unadjusted differences;
b. their views about the quality of the Company’s financial and accounting personnel;
c. any matters required to be discussed by Statement of Auditing Standards (“SAS”) 61, as amended by SAS 90 and as may be further modified or supplemented. These requirements include discussions as to the judgments of the independent public accountant regarding the quality of the Company’s accounting principles and financial disclosures, as well as the independent public accountant’s views about whether management’s choices of accounting principles, from the perspective of income, asset, and liability recognition, are appropriate; and

d. any audit problems, difficulties or disagreements with management, including any restrictions on the scope of the independent public accountant’s activities or on access to requested information, and management’s response. Among the items the Committee may want to review with the independent public accountant are: any accounting adjustments that were noted or proposed by the independent public accountant but were “passed” (as immaterial or otherwise); any communications between the audit team and the audit firm’s national office respecting auditing or accounting issues presented by the engagement; and any “management” or “internal control” letter issued, or proposed to be issued, by the audit firm to the Company.
9. Review and discuss with management, the internal auditors and the independent public accountant, in separate meetings if the Committee deems appropriate:
a. the Company’s financial statements proposed to be included in the Company’s public earnings reports and the Company’s Annual Report on Form 10-K and quarterly reports on Form 10-Q, including the Company’s disclosures under “Management’s Discussion and Analysis of Financial Condition and Results of Operations” and related footnotes and other financial information to be included in the Company’s Form 10-K and Form 10-Qs, prior to filing. If deemed appropriate, after consideration of the reviews and discussion, recommend to the Board of Directors that the financial statements be included in the Annual Report on Form 10-K;
b. any comments or inquiries from the Securities and Exchange Commission relating to the Company’s financial statements or other financial matters included in the Company’s periodic filings with the Commission;
c. any major issues regarding significant financial reporting issues and judgments made in connection with the preparation of the Company’s financial statements, including any significant changes in the Company’s selection or application of accounting principles;
d. any legal matters that are reasonably likely to have a material effect on the Company’s financial statements;
e. the effect of regulatory and accounting initiatives on the Company’s financial statements, as well as off-balance sheet arrangements, as defined by the SEC;
f. disclosures made to the Audit Committee by the Company’s Chief Executive Officer and Chief Financial Officer during their certification process for the Form 10-K or Form 10-Q regarding any significant deficiencies in the design or operation of internal controls or material weaknesses therein and any fraud involving management or other employees who have a significant role in the Company’s internal controls; and
g. any relevant significant recommendations that the independent public accountant may have.
10. Discuss the following with the Company’s management, internal auditors and independent public accountant:
a. at least quarterly, the adequacy and effectiveness of the Company’s internal financial controls and disclosure controls and procedures;
b. at least annually, the management letter issued by the independent public accountant and management’s response thereto;
c. at least quarterly, actions management has taken or progress it has made in addressing issues raised by the independent public accountant; and
d. at least quarterly, the Company’s major financial risk exposures and the steps that have been taken to monitor and control such exposures, including the Company’s risk assessment and risk management policies.

B.Internal Auditors
As part of its authorities, duties and responsibilities related to the internal auditors, the Committee shall:
1. Approve the annual audit plan, charter, responsibilities and staffing of the Internal Audit Department, including the appointment and replacement of the senior internal audit executive.
2. Review annually with the independent public accountants and the Director, Internal Audit the coordination of audit efforts to ensure completeness of coverage, reduction of redundant efforts and the effective use of audit resources.
3. Receive regular reports of major findings by internal auditors and how management is addressing the conditions reported.
C.Miscellaneous
As part of its other authorities, duties and responsibilities, the Committee shall:
1. Authorize and oversee investigations deemed appropriate by the Committee into any matters within the Committee’s scope of responsibility as described in this Charter or as may be subsequently delegated to the Committee by the Board of Directors, with the power to retain independent counsel, accountants and other advisors and experts to assist the Committee if deemed appropriate, as described in Section IV above.
2. Prepare the disclosure required of the Committee by S-K Item 306 of the Securities and Exchange Commission regulations to be included in the Company’s annual proxy statement.
3. Review this Charter on an annual basis and make recommendations to the Board of Directors concerning any changes deemed appropriate. The Committee Charter and/or any significant changes thereto, will be disclosed at least triennially in the annual report to shareholders or in the proxy statement.
4. Review and approve all related party transactions between the Company and any Company officer or member of the Board of Directors. The term “related party transaction” shall be read consistently with SEC Regulation S-K, Item 404(a).
5. Generally discuss with management, the Company’s policies with respect to earnings press releases and all financial information, such as earnings guidance, provided to analysts and rating agencies, including the types of information to be disclosed and the types of presentation to be made and paying particular attention to the use of “pro forma” or “adjusted” non-GAAP information. The Committee or its Chairman may review any of the Company’s earnings press releases as the Committee or the Chairman deems appropriate.
6. Establish procedures for: (i) the receipt, retention, and treatment of complaints received by the Company regarding accounting, internal accounting controls, or auditing matters; and (ii) the confidential, anonymous submission by employees of the Company of concerns regarding questionable accounting or auditing matters. The Committee shall review any significant complaints or concerns regarding accounting, internal accounting controls or auditing matters received pursuant to such procedures.
7. Report regularly to the Board of Directors and review with the full Board of Directors any issues that arise with respect to the quality or integrity of the Company’s financial statements, the Company’s compliance with legal or regulatory requirements, the performance and independence of the Company’s independent public accountant, or the performance of the internal audit function.

8. While the fundamental responsibility for the Company’s financial statements and disclosures rests with management and the independent public accountants, the Committee will review: (a) major issues regarding accounting principles and financial statement presentations, including any significant changes in the Company’s selection or application of accounting principles, and major issues as to the adequacy of the Company’s internal controls and any special audit steps adopted in light of material control deficiencies; (b) analyses prepared by management and/or the independent public accountant setting forth significant financial reporting issues and judgments made in connection with the preparation of the financial statements, including analyses of the effects of alternative GAAP methods on the financial statements and the treatment preferred by the independent public accountant; (c) the effect of regulatory and accounting initiatives, as well as off-balance sheet structures, on the financial statements of the company; and (d) earnings press releases (paying particular attention to any use of “pro forma,” or “adjusted” non-GAAP, information), as well as financial information and earnings guidance provided to analysts and rating agencies.
9. Oversee compliance with the Company’s Financial Officer Code of Ethics for Senior Financial Officers and report on such compliance to the Board of Directors.
10. Review, annually, the Committee’s performance and determine whether improvements can be made.
11. The Committee shall perform any other duties or responsibilities expressly delegated to the Committee by the Board of Directors.

CORPORATE GOVERNANCE COMMITTEE CHARTER
SIGMA-ALDRICH CORPORATION
The Board of Directors of Sigma-Aldrich Corporation (the “Company”) hereby adopts this Charter to govern the composition of its Corporate Governance Committee (the “Committee”) and the scope of the Committee’s duties and responsibilities, and to set forth specific actions the Board of Directors expects the Committee to undertake to fulfill those duties and responsibilities.
I. STATEMENT OF PURPOSE
The Committee will consider and make recommendations to the Board concerning the qualification and compensation of members of the Board and its committees, as well as the size and composition of the Board and its committees, and will consider and approve nomination of candidates for election to the Board. The Committee will also periodically review the Corporate Governance Guidelines and the Business Conduct Policy adopted by the Board and make such recommendations to the Board as the Committee deems appropriate concerning any changes in such Guidelines and Code and the Board’s and the Company’s operations as provided therein.
II. COMPOSITION OF THE CORPORATE GOVERNANCE COMMITTEE
The Committee shall be comprised of at least three members of the Board of Directors, with the number of members to be determined from time to time by the Board. The members shall be designated by the Board of Directors. All of the members shall be independent directors.
III. MEETINGS
The Committee shall meet at least once annually, or more frequently as the Committee may from time to time determine to be appropriate. Unless the Board has previously designated a Chair, the members of the Committee may designate a Chair by majority vote. A majority of the Committee members shall constitute a quorum.
Teleconferences may also be held at such other times as shall be reasonably requested by the Chairman of the Board or the Chair of the Committee.
The Chair shall prepare the agenda for Committee meetings, after consultation with the Chairman of the Board and Chief Executive Officer and subject to the right of the Committee members to suggest additional items for the agenda. Agendas are shared with Committee members in advance of meetings. As a general rule, subject to appropriate procedures to protect the confidentiality of particularly sensitive information, appropriate background and explanatory materials concerning matters to be discussed at Committee meetings shall be sent to Committee members in advance.
Committee meetings will normally be attended by the Chairman of the Board, unless the matter or matters to be discussed at the meeting would make it appropriate to excuse him/her. At the invitation of the Chair, meetings may also be attended by other members of management and other persons as are appropriate to matters under consideration.
The Committee and its members have complete access to management, recognizing that it is expected that members will use judgment to be sure that this access is not distracting to the business operations of the Company. The Committee may engage the services of outside advisors if it shall determine such services to be necessary or appropriate for the proper discharge of its duties. Should any member of the Committee believe that participation of management or outside advisors in discussion of a particular subject would be advisable, they are encouraged to make that request.

The Chair will present an oral report of Committee meetings and other proceedings at each Board meeting. Proposals which require Board action will normally be submitted by the Committee to the Board in writing.
IV. DUTIES AND RESPONSIBILITIES OF THE CORPORATE GOVERNANCE COMMITTEE
The duties and responsibilities of the Committee shall include the following:
A.Size and Composition of Board. Review, at least annually, the size, structure and membership of the Board and its committees to assure that the proper skills and experience are represented on the Board and its committees. In conducting its review, the Committee shall consider the contributions of existing Directors and the overall needs of the Company.
B.Potential Candidates. Maintain a list of persons who may be potential Directors, seek out possible candidates and otherwise aid in attracting highly qualified candidates as Directors.
C.Approve Nominees. Evaluate and approve nominees for election to the Board, after consultation with the Chairman of the Board and the Chief Executive Officer, as well as other members of the Board. The Committee shall consider the knowledge, experience, integrity and judgment of possible candidates for nomination as a Director; their potential contribution to the diversity of backgrounds, experience and competencies which the Board desires to have represented; and their ability to devote sufficient time and effort to their duties as Directors. Following approval by the full Board, invitations to join the Board are extended by the Chairman of the Board.
Consider nominees recommended by shareholders for election to the Board provided the names of such nominees, accompanied by relevant biographical information, are submitted in writing to the Secretary of the Company on a timely basis.
Consider and recommend to the Board the position to be taken with respect to any persons nominated by shareholders for election to the Board in accordance with the Company’s By-Laws.
D.Board Vacancies. Nominate for Board approval persons to fill vacancies on the Board.
It is the sense of the Board that individual Directors who change the responsibility they held when they were elected to the Board should submit his/her resignation to the Board. It is not the sense of the Board that in every instance such Directors should necessarily leave the Board. The Committee shall, however, assess whether or not it is appropriate for such a Director to continue to serve on the Board.
E.Board Compensation. Review, annually, the status of Director compensation in relation to other similarly situated companies and make recommendations to the Board with respect to changes in Director compensation.
F.Composition of Committees. Make recommendations with respect to committee duties and, after consultation with the Chairman of the Board and Chief Executive Officer and consideration of the background of individual Board members, recommend annually to the Board the assignment of members to committees and the designation of committee chairs. The Committee shall consider periodic rotation of committee members, particularly committee chairs; however, the Committee is not required to recommend rotation of committee members on a specified timetable.
G.Corporate Governance. From time to time, review the Corporate Governance Guidelines adopted by the Board and the Board’s operations as provided for therein, and determine whether to recommend any changes to the Board.
