On August 28, 2002 we filed a press release announcing that on August 21, 2002 we received a letter from The Nasdaq Stock Market, Inc. notifying us of our failure to comply with Nasdaq rules regarding the timely filing of our Form 10-Q for the quarter ended June 30, 2002, and that we will be restating certain financial results. A copy of the press release is attached hereto as an Exhibit and is incorporated herein in its entirety by reference.
