ITEM 5. Other Events
On September 4, 2002 we filed a press release announcing that our stockholders approved a one-for-seven reverse split of our common stock at a Special Meeting held on August 28, 2002. The reverse split was effective as of the close of business on Tuesday, September 3, 2002, and NetManage’s common stock began trading under the split adjustment when the market opened on September 4, 2002. Due to the reverse stock split, NetManage’s common stock will temporarily be traded under the symbol NMGDE. A copy of the press release is attached hereto as an Exhibit and is incorporated herein in its entirety by reference.
