Item 8.01. Other Events.
On June 13, 2007, Winston Hotels, Inc., a North Carolina corporation (“the company”), announced that it terminated its definitive agreement to acquire the Hilton Garden Inn hotel under construction in the Tribeca section of Manhattan in New York City and dismissed its pending action against the seller in exchange for a payment of $16 million. The company also announced that it extended the outside closing date under its contract to acquire the Hilton Garden Inn hotel under construction in the Chelsea section of Manhattan in New York City, which is expected to open in the third quarter of 2007. A copy of the press release is being filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
