Item 8.01. Other Events.
On June 21, 2007, Winston Hotels, Inc., a North Carolina corporation (“the company”), announced that its common shareholders approved the previously announced merger of the company with and into a wholly-owned subsidiary of Inland American Real Estate Trust, Inc.. The company also announced that its board of directors declared a cash dividend of $0.50 per share on its Series B Cumulative Preferred stock for the second quarter of 2007, to preferred shareholders of record on June 29, 2007. This dividend will be paid simultaneous with the consideration that the preferred shareholder will receive in connection with the merger. A copy of the press release is being filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
