Explanatory Note:
The Registrant is filing this Amendment to its Certified Shareholder Report on Form N-CSR filed with the Securities and Exchange Commission on September 3, 2008 to amend Item 12: Exhibits with respect to AllianceBernstein International Growth Fund’s annual report to stockholders. The purpose of the amendment is to incorporate Exhibit 12(a)(1), the registrant’s Code of Ethics, which was not included in the original filing. Other than the aforementioned revision, this Amended Form N-CSR does not reflect events occurring after the filing of the original Form N-CSR, or modify or update the disclosures therein in any way.
