We are offering $ of our fixed-to-floating rate subordinated notes due 2032 (the “notes”).
We will pay interest on the % fixed-to-floating rate subordinated notes due 2032 semi-annually during the fixed rate period from and including , 2021 to but excluding , 2031 (the “Fixed Rate Period”) in arrears on and of each year and quarterly during the floating rate period from and including , 2031 to but excluding the , 2032 maturity date (the “Floating Rate Period”) in arrears on the second business day following each Floating Rate Interest Payment Period End-Date (as defined herein); provided that the Floating Rate Interest Payment Date (as defined herein) with respect to the final Floating Rate Interest Payment Period (as defined herein) will be the maturity date. We will make the first interest payment on the notes on , 2022. The notes will mature on , 2032. We may redeem the notes at our option (1) on , 2031 (which is the date that is one year prior to the maturity date of the notes), in whole but not in part, at a redemption price equal to 100% of the principal amount of the notes to be redeemed, plus accrued and unpaid interest thereon to the redemption date, or (2) in whole but not in part, at any time within 90 days following a regulatory capital treatment event (as defined herein), at a redemption price equal to 100% of the principal amount of the notes, plus any accrued and unpaid interest thereon to the redemption date. Any redemption of the notes is subject to our receipt of any prior approval required by the Board of Governors of the Federal Reserve System (the “Federal Reserve”) and to the satisfaction of any conditions set forth in the regulations and guidelines of the Federal Reserve applicable to redemption of the notes, including capital regulations and guidelines. The notes will be our unsecured obligations, will rank junior to all of our senior indebtedness and will be effectively junior to all indebtedness and other liabilities of our subsidiaries.
We will issue the notes in minimum denominations of $2,000 and integral multiples of $1,000 in excess thereof. There is no sinking fund for the notes. The notes are a new issue of securities with no established trading market. The notes will not be listed on any securities exchange.
