Based on the Bank’s evaluation as of October 31, 2003 of the effectiveness of the design and operation of the Bank’s disclosure controls and procedures conducted by and under the supervision of the management of the Bank, including the Bank’s Chief Executive Officer and Chief Financial Officer, Bank of Montreal’s Chief Executive Officer and Chief Financial Officer have concluded that the Bank’s disclosure controls and procedures as defined in Rule 13a-15(e) under the Securities Exchange Act of 1934 (the “Exchange Act”) are effective to ensure that information required to be disclosed by the Bank in reports that it files or submits under the Exchange Act is recorded, processed, summarized and reported within the time periods specified in Securities and Exchange Commission rules and forms.
