Explanation of Responses:

1. On April 20, 2018, Mr. Gelman was granted 2,800 shares of restricted common stock pursuant to the 2017 Incentive Compensation Plan, 1,400 shares of which shall vest upon the Company's adjusted EBITDA being positive for the first quarter following such grant, and 1,400 shares of which shall vest upon the Company's net income being positive for the first quarter following such grant. As of February 14, 2018, no such shares are vested.
