Explanation of Responses:

1. The shares reported in this Statement of Changes in Beneficial Ownership were issued to CNL Global Income Advisors, LLC ("CGIA") pursuant to that certain Amended and Restated Expense Support and Restricted Stock Agreement dated effective January 1, 2014 (the "ESRSA") by and between Global Income Trust, Inc. (the "Issuer"), and CGIA (the "Reported Transaction"). All of the shares issued in the Reported Transaction are subject to forfeiture in accordance with the terms and conditions of the ESRSA.

2. All of the shares of the Issuer's common stock beneficially owned by James M. Seneff, Jr. (the "Reporting Person") immediately following the Reported Transaction, are held of record by CGIA, which is indirectly wholly owned by the Reporting Person.
