This amendment is being filed to ensure that the chief executive officer and chief financial officer certifications are reflected as exhibits 31 and 32 to StockerYale, Inc.'s (the "Company") Form 10-K for the fiscal year ended December 31, 2003. Although the certifications required by Rule 13a-14(a) and Rule 15d-14(a) were previously filed with the text of the Form 10-K, the Company inadvertently did not reflect that these certifications should be exhibits 31.1 and 31.2 and the Company inadvertently included a copy of those certifications as exhibits in lieu of the certifications required by 18 U.S.C. Section 1350, which are furnished in this amendment as exhibits 32.1 and 32.2.
