Item 1.01. Entry into a Material Definitive Agreement.
On May 4, 2006, the Board of Directors of CheckFree Corporation (“CheckFree”) approved a special bonus to Steve Olsen, Executive Vice President and Chief Information Officer, in the amount of $50,000 cash and a grant of 2,740 shares of restricted stock, which vest 20% on each anniversary of the grant, under CheckFree’s 2002 Stock Incentive Plan. A copy of the form of restricted stock award agreement was previously filed with CheckFree’s Quarterly Report on Form 10-Q for the quarter ended December 31, 2004, filed with the Securities and Exchange Commission on February 8, 2005.
