Item 1.01. Entry Into a Material Definitive Agreement.
Amendment to Guarantee and Collateral Agreement
On December 29, 2022, Terex Corporation (“Terex” or the “Company”) and certain of its subsidiaries entered into an Amendment (“Amendment”) to the Guarantee and Collateral Agreement as of January 31, 2017 (as amended, supplemented or otherwise modified from time to time, the “Guarantee and Collateral Agreement”), with the lenders and issuing banks party thereto and Credit Suisse AG, Cayman Islands Branch, as administrative agent and collateral agent (“CSAG”).
The principal changes contained in the Amendment are:
•Enabling Terex Global GmbH (“TGG”) to enter into hedging derivatives with external counterparties, including, but not limited to, foreign exchange and steel hedges.
•The inclusion of Terex subsidiary entities’ cash management services provided by lending banks to be secured under the Guarantee and Collateral Agreement.
CSAG or its affiliates, and certain lenders, or their affiliates, are party to other agreements with the Company and its subsidiaries, including the provision of commercial banking, investment banking, trustee and/or other financial services in the ordinary course of business of the Company and its subsidiaries.

Item 8.01. Other Events.
Term Loan Repayment
In December 2022, Terex voluntarily prepaid the remaining $55,000,000.00 of Term Loans pursuant to that certain Amended and Restated Credit Agreement dated as of April 1, 2021, among Terex, certain of its subsidiaries, the lenders and issuing banks named therein, and CSAG, as administrative agent and as collateral agent.
