Item 2.01 Completion of Acquisition
Effective April 1, 2007, Building Materials Holding Corporation’s wholly owned subsidiary, SelectBuild Construction, Inc., acquired the remaining 27% of Riggs Plumbing LLC for approximately $10 million in cash. The purchase price is subject to adjustment and will be paid in April 2007.
We acquired an additional 13% of Riggs Plumbing in July 2005 and the initial 60% in April 2005. Riggs Plumbing provides plumbing services to high-volume homebuilders in the Phoenix and Tucson markets. Sales were approximately $90 million for the twelve months ended December 31, 2006.
