Item 8.01 Other Events.
On January 23, 2008, Career Education Corporation (the “Company”) issued a press release announcing that the Company was advised by the staff of the Chicago Regional Office of the Securities and Exchange Commission ("SEC") that the SEC investigation concerning the Company has been completed, with no action taken against the Company. A copy of the Company’s press release is attached hereto as Exhibit 99.1, and the information contained therein is incorporated herein by reference.
