Item 8.01. Other Events.
On January 10, 2005, Openwave Systems Inc. issued a press release announcing that it had signed a definitive agreement to purchase all outstanding shares of Cilys, a privately held Canadian wireless telecommunications software infrastructure vendor. The transaction is expected to close in the first quarter of 2005 and is subject to customary closing conditions. A copy of the press release is attached to this Current Report on Form 8-K as Exhibit 99.1 and is incorporated herein by reference.
