On November 5, 2003, KANA Software, Inc. announced the public offering of4,080,000 shares of its common stock at a price to the public of $3.00 per share in a public offering underwritten and managed by RBC Capital Markets. RBC Capital Markets has a 30-day option to purchase a maximum of612,000 additional shares to cover over-allotments of shares, if any. The offering is scheduled to settle on November 10, 2003.
The offered shares are registered under a shelf registration statement on Form S-3 (Registration No. 333-68342) that was declared effective by the Securities and Exchange Commission onSeptember 5, 2001 and an additional registration statement filed pursuant to Rule 462(b) of the Securities Act of 1933, as amended, on November 5, 2003 and declared automatically effective upon filing.
