Item 1.01. Entry into a Material Definitive Agreement.
On April 20, 2006, the Board of Directors (the “Board”) of Kana Software, Inc. (“KANA”) approved new director cash compensation arrangements, under which each non-employee director will be paid (i) an annual fee of $10,000, and (ii) an additional $2,500 for each of the four (4) regularly scheduled Board meetings that such director attends. Moreover, the Board approved the following cash compensation for chairpersons of committees of the Board: the chairperson of the Audit Committee will be paid $15,000 per annum and the chairpersons of the Compensation Committee and the Governance and Nominating Committee will be paid $5,000 per annum. These fees will be effective retroactively from January 1, 2006.
A description of the director cash compensation arrangements is filed as Exhibit 10.01 of this Current Report on Form 8-K and is incorporated herein by reference.
Item 2.02. Results of Operations and Financial Condition.
On April 24, 2006, KANA issued a press release announcing certain preliminary financial results for the first quarter ended March 31, 2006 and certain other information. This press release is being furnished as Exhibit 99.01 to this Current Report on Form 8-K and is incorporated herein by this reference.
