Item 8.01. Other Events.
On March 25, 2005, First Potomac Realty Trust (the “Company”) entered into a Purchase Agreement with RREEF America, L.L.C. (the “Purchase Agreement”) in connection with the sale by the Company of 2,050,000 common shares of beneficial interest, $0.001 par value per share, of the Company (the “Shares”), at a price of $21.95 per share (the “Offering”). The net proceeds of the Offering, after deducting the estimated offering expenses, will be approximately $44.9 million. A copy of the Purchase Agreement is filed asExhibit 99.1 hereto and incorporated by reference herein.
