Item 1.01. Entry into a Material Definitive Agreement.
On March 31, 2005, the Company entered into a sub-sublease (the "Lease") for a term of seven years and four months related to the relocation of its corporate headquarters to 7600 Wisconsin Avenue in Bethesda, Maryland. Commencing July 1, 2005, the Company will lease 18,095 square feet at an initial base rent of $26.00 per square foot, or $470,470 per year. The Company intends to sublet its current headquarters space at 7200 Wisconsin Avenue, Bethesda, Maryland. Copies of the prime landlord’s consent to the Lease and the Lease are attached as Exhibit 10.1 hereto and incorporated herein by reference.
