Item 2.02 | Results of Operations. |
On April 25, 2019, Oaktree Capital Group, LLC (the “Company” or “OCG”) issued a press release announcing its financial results for the first quarter ended March 31, 2019. A copy of the press release is attached as Exhibit 99.1.
Beginning with the first quarter of 2019, the Company has determined that distributable earnings is the primary financial measure used by management to make operating decisions and assess the performance of our business. In connection with this determination, the definition of distributable earnings was modified to include the deduction for preferred unit distributions and exclude costs related to the Brookfield transaction. The Company has posted on its corporate website certain historical financial information relating to distributable earnings for prior periods. The updated financial information is accessible through the investor relations section of the Oaktree website at ir.oaktreecapital.com. A copy of the updated financial information is attached as Exhibit 99.2.
The information in this Item 2.02 and the attached press release and historical financial information relating to distributable earnings is “furnished” but not “filed” for purposes of Section 18 of the U.S. Securities Exchange Act of 1934, as amended (the “Exchange Act”).
