MATERIAL FACT
COSAN S.A. (B3: CSAN3; NYSE: CSAN) (“Cosan”), in compliance with the provisions of CVM Resolution No. 44, of August 23, 2021, and following the material fact disclosed on July 28, 2021, informs its shareholders and the market in general that its subsidiary COMPASS GÁS E ENERGIA S.A. (“Compass”) concluded, on this date, the acquisition of 51% (fifty-one percent) interest of the capital stock of Petrobras Gás S.A. (“Gaspetro”), held by Petróleo Brasil S.A. (“Petrobras”). The total investment for the acquisition was R$2.097 billion, after the adjustments provided for in the contract.
