        In connection with the Quarterly Report of Sealy Corporation (the "Corporation") on Form 10-Q for the period ending June 1, 2008 as filed with the Securities and Exchange Commission on the date hereof (the "Report"), Lawrence J. Rogers, Interim Chief Executive Officer of the Corporation, and Jeffrey C.
